Novithic | Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Novithic (the “Service”) provided by Novithic, Inc. (“Novithic”, “we”, “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

Novithic provides its website and related services. The Service may change over time, and we may add, remove, or update features at our discretion.

2. Eligibility and Accounts

You must provide accurate information when creating an account and keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us promptly if you believe your account has been compromised.

3. Subscriptions, Billing, and Cancellation

If the Service includes paid plans, subscription fees (if any) are charged in advance on a recurring basis, unless otherwise stated at the time of purchase. Payments are handled by our payment processors. Except as required by law or as described at the time of purchase, payments are non-refundable.

You may cancel your subscription at any time. Unless otherwise stated, you will retain access to paid features until the end of the current billing period.

4. Acceptable Use

You agree not to misuse the Service. You will not:

• Attempt to gain unauthorized access to the Service or other users’ accounts or data
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to extract source code or underlying ideas from the Service, except to the extent permitted by law
• Use the Service to transmit malware or to engage in unlawful, fraudulent, or harmful activities

5. User Content

You retain ownership of content you submit, upload, transmit, or create in the Service (“User Content”). You grant Novithic a limited, non-exclusive, worldwide license to host, store, process, and display your User Content solely as necessary to operate, provide, maintain, and improve the Service.

You represent that you have the rights to submit and use your User Content and that your User Content does not violate applicable law or third-party rights.

6. Intellectual Property

Except for User Content, the Service and all related materials, including software, designs, and trademarks, are owned by Novithic or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

7. Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVITHIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVITHIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

IN NO EVENT WILL NOVITHIC’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO NOVITHIC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100 IF YOU HAVE NOT PAID ANY AMOUNTS, WHICHEVER IS GREATER.

9. Termination

We may suspend or terminate your access to the Service if you violate these Terms, if we reasonably believe it is necessary for security, compliance, or to prevent harm, or if required by law. You may stop using the Service at any time.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the “Effective date”. Your continued use of the Service after changes become effective means you accept the updated Terms.
